f) uploading, posting, emailing, transmitting or otherwise offering any content that you do not personally have any right to offer pursuant to any law or in accordance with any contractual or fiduciary relationship;

g) uploading, posting, emailing, transmitting, or otherwise offering any unsolicited or unauthorized advertising, promotional flyers, "junk mail," "spam," or any other form of solicitation, except in any such areas that may have been designated for such purpose;

h) uploading, posting, emailing, transmitting, or otherwise offering any source that may contain a software virus or other computer code, any files and/or programs which

have been designed to interfere, destroy and/or limit the operation of any computer software, hardware, or telecommunication equipment;

i) disrupting the normal flow of communication, or otherwise acting in any manner that would negatively affect other users' ability to participate in any real time interactions;

j) interfering with or disrupting any AstroResumes Services, servers and/or networks that may be connected or related to our website, including, but not limited to, the use of any device software and/or routine to bypass the robot exclusion headers;

k) intentionally or unintentionally violating any local, state, federal, national or international law, including, but not limited to, rules, guidelines, and/or regulations decreed by the U.S. Securities and Exchange Commission, in addition to any rules of any nation or other securities exchange, that would include without limitation, the New York Stock Exchange, the American Stock Exchange, or the NASDAQ, and any regulations having the force of law;

m)"stalking" or with the intent to otherwise harass another individual; and/or

n)collecting or storing of any personal data relating to any other member or user in connection with the prohibited conduct and/or activities which have been set forth in the aforementioned paragraphs.

AstroResumes herein reserves the right to pre-screen, refuse and/or delete any content currently available through our Services. In addition, we reserve the right to remove and/or delete any such content that would violate the Terms or which would otherwise be considered offensive to other visitors, users and/or members.

AstroResumes herein reserves the right to access, preserve and/or disclose member account information and/or content if it is requested to do so by law or in good faith belief that any such action is deemed reasonably necessary for:

We do not guarantee you will get contacted or employed even when the system automatically states that you are a match, provides a perfect score or a top rank.

AstroResumes may provide suggestions or information regarding your job search process, however you agree that it is your responsibility to determine and define what best applies to your job-hunting process in accordance with your needs and expectations.

From time to time AstroResumes may use or refer to trademarks and/or trade names that are property of third parties. This use is not meant to represent AstroResumes affiliation with these third parties and appear for identification purposes only.

These Terms and your rights to access, download from, and use the Service are subject to immediate termination, without notice, (i) if you breach (or AstroResumes reasonably suspects that you have breached) any provision of these Terms; or (ii) upon AstroResumes’ discontinuation of its dissemination or support of the Service. If such termination without notice is expressly prohibited by applicable law, then such termination will occur upon notice of any such breach. Upon termination, you must cease all use of the Service. b) ASTRORESUMES AND OUR SUBSIDIARIES, OFFICERS, EMPLOYEES, AGENTS, PARTNERS AND LICENSORS MAKE NO SUCH WARRANTIES THAT (i) ASTRORESUMES SERVICES OR SOFTWARE WILL MEET YOUR REQUIREMENTS; (ii) ASTRORESUMES SERVICES OR SOFTWARE SHALL BE UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE; (iii) THAT SUCH RESULTS WHICH MAY BE OBTAINED FROM THE USE OF THE ASTRORESUMES SERVICES OR SOFTWARE WILL BE ACCURATE OR RELIABLE; (iv) QUALITY OF ANY PRODUCTS, SERVICES, ANY INFORMATION OR OTHER MATERIAL WHICH MAY BE PURCHASED OR OBTAINED BY YOU THROUGH OUR SERVICES OR SOFTWARE WILL MEET YOUR EXPECTATIONS; AND (v) THAT ANY SUCH ERRORS CONTAINED IN THE SOFTWARE SHALL BE CORRECTED.

e) A SMALL PERCENTAGE OF SOME USERS MAY EXPERIENCE SOME DEGREE OF EPILEPTIC SEIZURE WHEN EXPOSED TO CERTAIN LIGHT PATTERNS OR BACKGROUNDS THAT MAY BE CONTAINED ON A COMPUTER SCREEN OR WHILE USING OUR SERVICES. CERTAIN CONDITIONS MAY INDUCE A PREVIOUSLY UNKNOWN CONDITION OR UNDETECTED EPILEPTIC SYMPTOM IN USERS WHO HAVE SHOWN NO HISTORY OF ANY PRIOR SEIZURE OR EPILEPSY. 14. LIMITATION OF LIABILITY

YOU EXPLICITLY ACKNOWLEDGE, UNDERSTAND AND AGREE THAT ASTRORESUMES AND OUR SUBSIDIARIES, AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, PARTNERS AND LICENSORS SHALL NOT BE LIABLE TO YOU FOR ANY PUNITIVE, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING, BUT NOT LIMITED TO, DAMAGES WHICH MAY BE RELATED TO THE LOSS OF ANY PROFITS, GOODWILL, USE, DATA AND/OR OTHER INTANGIBLE LOSSES, EVEN THOUGH WE MAY HAVE BEEN ADVISED OF SUCH POSSIBILITY THAT SAID DAMAGES MAY OCCUR, AND RESULT FROM:

a) THE USE OR INABILITY TO USE OUR SERVICE;

b) THE COST OF PROCURING SUBSTITUTE GOODS AND SERVICES;

c) UNAUTHORIZED ACCESS TO OR THE ALTERATION OF YOUR TRANSMISSIONS AND/OR DATA;

d) STATEMENTS OR CONDUCT OF ANY SUCH THIRD PARTY ON OUR SERVICE;

e) AND ANY OTHER MATTER WHICH MAY BE RELATED TO OUR SERVICE.

15. RELEASE

In the event you have a dispute, you agree to release AstroResumes (and its officers, directors, employees, agents, parent subsidiaries, affiliates, co-branders, partners and any other third parties) from claims, demands and damages (actual and consequential) of every kind and nature, known and unknown, suspected or unsuspected, disclosed and undisclosed, arising out of or in any way connected to such dispute.

16. NOTICE

AstroResumes may furnish you with notices, including those with regards to any changes to the Terms, including but not limited to email, regular mail, MMS or SMS, text messaging,

postings on our website Services, or other reasonable means currently known or any which may be herein after developed. Any such notices may not be received if you violate any aspects of the Terms by accessing our Services in an unauthorized manner. Your acceptance of this Agreement constitutes your agreement that you are deemed to have received any and all notices that would have been delivered had you accessed our Services in an authorized manner.

17. INTELLECTUAL PROPERTY RIGHTS

You herein acknowledge, understand and agree that all of the AstroResumes trademarks, copyright, trade name, service marks, and other AstroResumes logos and any brand features, and/or product and service names are trademarks and as such, are and shall remain the property of AstroResumes. You herein agree not to display and/or use in any manner the AstroResumes logo or marks without obtaining AstroResumes’ prior written consent.

AstroResumes will always respect the intellectual property of others, and we ask that all of our users do the same. With regards to appropriate circumstances and at its sole discretion, AstroResumes may disable and/or terminate the accounts of any user who violates our Terms and/or infringes the rights of others. If you feel that your work has been duplicated in such a way that would constitute copyright infringement, or if you believe your intellectual property rights have been otherwise violated, you should provide to us the following information:

a) The electronic or the physical signature of the individual that is authorized on behalf of the owner of the copyright or other intellectual property interest;

b) A description of the copyrighted work or other intellectual property that you believe has been infringed upon;

c) A description of the location of the site which you allege has been infringing upon your work;

d) Your physical address, telephone number, and email address;

e) A statement, in which you state that the alleged and disputed use of your work is not authorized by the copyright owner, its agents or the law;

f) And finally, a statement, made under penalty of perjury, that the aforementioned information in your notice is truthful and accurate, and that you are the copyright or

intellectual property owner, representative or agent authorized to act on the copyright or intellectual property owner's behalf.

18. CHARGES, PAYMENTS AND SUBSCRIPTIONS

You agree to pay for all Services that are not obtained by means of a special promotional code offered to you by for “free”. We offer additional premium services for a fee, either on a one-time (prepaid) or a subscription basis (recurring charges). You may be asked during the purchase process to provide your credit card, bank account or ”e-wallet” information (your “payment method”). You agree that AstroResumes’ third party providers may store your payment method information, always in compliance with the highest security standards (PCI compliant). If you decide to purchase the additional premium services, You agree to pay the applicable fees for the services you order as they become due, including any related taxes that may apply. If a payment cannot be charged for the entire amount due, you agree that a partial amount may be charged to the payment method stored for the balance available and the remainder of the amount can be charged as a separate transaction either to the same method of payment or any other method stored in your account. You may also be subject to an additional administrative fee (non-refundable) for declined or partial payments of up to USD 2.50. You agree to reimburse AstroResumes for any collection costs and interest accrued to collect overdue amounts. You have the option of registering your payment methods for recurring or automatic billing for some of the services offered. The billing and purchase terms for your order will be displayed on the offer page of the Services. If you choose the automatic or recurring subscription, you will be notified of the billing terms and how to stop the recurring billing on the Services.

By purchasing the services on our Site you agree with the billing terms as provided specifically on the Site. Failure to make payments as they come due may result in the termination of your subscription. All payments will be processed through Stripe Depending on your location, the payment type and methods used, you may be subject to foreign exchange fees and a difference in prices based on exchange rates. Your bank may also charge foreign currency exchange fees. AstroResumes is not responsible for any foreign transaction or currency exchange fees and will not make any compensation or reimbursement for charges imposed by you bank or credit card. AstroResumes reserves the right to change the prices and fees for their Services at any time.

AstroResumes does not support all payment methods, currencies and locations for payment. If your payment method is a credit card and it expires, we will continue to bill that payment method and you will be responsible for all unpaid fees unless you modify your payment method in your customer dashboard or cancel your account associated with the Services.

Your obligation to pay all fees will continue through the subscription period until you cancel your subscription. All applicable taxes are calculated based on the billing information you provide at the time of purchase. You may cancel your subscription at any time by going to the “Astro Path,” logging into your account, “My Subscription” and then “Cancel” or contacting our Customer Service department by sending an email to support@AstroResumes.com. Refunds are not guaranteed. Any refunds that AstroResumes should be made in your benefit, will be accredited on the payment method you designated when you first made a purchase or incurred a charge.

19. REFUND POLICY

At Astro Resumes, we strive to deliver quality services to our clients. Due to the nature of our subscription-based services:

1. All purchases are final and non-refundable.

2. If you are unsatisfied, you can cancel your subscription anytime.

3. Upon cancellation, you will still be responsible for the payment of the current month.

Your satisfaction is our priority. We encourage feedback and will work diligently to address any concerns you might have.

We may provide you areas on the Services to leave reviews or ratings. When posting a review, you must comply with the following criteria:

As part of the functionality of the Services, you may link your account with online accounts you have with third-party service providers (each such account, a "Third-Party Account") by either: (1) providing your Third-Party Account login information through the Services; or (2) allowing us to access your Third-Party Account, as is permitted under the applicable terms and conditions that govern your use of each Third-Party Account. You represent and warrant that you are entitled to disclose your Third-Party Account login information to us and/or grant us access to your Third-Party Account, without breach by you of any of the terms and conditions that govern your use of the applicable Third-Party Account, and without obligating us to pay any fees or making us subject to any usage limitations imposed by the third-party service provider of the Third-Party Account. By granting us access to any Third-Party Accounts, you understand that (1) we may access, make available, and store (if applicable) any content that you have provided to and stored in your Third-Party Account (the "Social Network Content") so that it is available on and through the Services via your account, including without limitation any friend lists and (2) we may submit to and receive from your Third-Party Account additional information to the extent you are notified when you link your account with the Third-Party Account. Depending on the Third-Party Accounts you choose and subject to the privacy settings that you have set in such Third-Party Accounts, personally identifiable information that you post to your Third-Party Accounts may be available on and through your account on the Services. We make no effort to review any Social Network Content for any purpose, including but not limited to, for accuracy, legality, or non-infringement, and we are not responsible for any Social Network Content. You agree that we may access your email address book associated with a Third-Party Account and your contacts list stored on your mobile device or tablet computer solely for purposes of identifying and informing you of those contacts who have also registered to use the Services. You can deactivate the connection between the Services and your Third-Party Account by contacting us using the contact information below or through your account settings (if applicable). We will attempt to delete any information stored on our servers that was obtained through such Third-Party Account, except the username and profile picture that become associated with your account.

22. ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between you and AstroResumes and shall govern the use of our Services, superseding any prior version of this Agreement between you and us with respect to AstroResumes Services. You may also be subject to additional terms and conditions that may apply when you use or purchase certain other AstroResumes Services, affiliate Services, third-party content or third-party software.

23. CHOICE OF LAW AND FORUM

It is at the mutual agreement of both you and AstroResumes with regard to the Agreement that the relationship between the parties shall be governed by the laws of the state of New York without regard to its conflict of law provisions and that any and all claims, causes of action and/or disputes, arising out of or relating to the Agreement, or the relationship between you and AstroResumes, shall be filed within the courts having jurisdiction within the County of Niagara, New York or the U.S. District Court located in said state. You and AstroResumes agree to submit to the jurisdiction of the courts as previously mentioned, and agree to waive any and all objections to the exercise of jurisdiction over the parties by such courts and to venue in such courts.

24. WAIVER AND SEVERABILITY OF TERMS

At any time, should AstroResumes fail to exercise or enforce any right or provision of the Agreement, such failure shall not constitute a waiver of such right or provision. If any provision of this Agreement is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties' intentions as reflected in the provision, and the other provisions of the Agreement remain in full force and effect.

25. NO RIGHT OF SURVIVORSHIP NON- TRANSFERABILITY

You acknowledge, understand and agree that your account is non-transferable and any rights to your ID and/or contents within your account shall terminate upon your death. Upon receipt of a copy of a death certificate, your account may be terminated and all contents therein permanently deleted.

26. STATUTE OF LIMITATIONS

You acknowledge, understand and agree that regardless of any statute or law to the contrary, any claim or action arising out of or related to the use of our Services or the Agreement must be filed within 1 year(s) after said claim or cause of action arose or shall be forever barred.

28. GOVERNMENT REQUESTS

In order to cooperate with governmental requests, subpoenas or court orders, to protect our systems, or to ensure the integrity and operation of our business and systems, we may access and disclose any information we consider necessary or appropriate, including and without limitation, your information, IP address, and usage history. Our right to disclose any such information is governed by the terms of our Privacy Policy.

29. FOREIGN ACCESS OF SITE

The Site is controlled, operated and administered by from our offices within the USA. If you access the Site from a location outside the USA, you are responsible for compliance with all local laws. You agree that you will not use AstroResumes’ content accessed through the Site in any country or in any manner prohibited by any applicable laws, restrictions or regulations.
